The commercial registration (CR) is a business's identity with government bodies, banks and customers: it records the trade name, activity, capital and who may sign for the business. Saudi Arabia's new Commercial Register Law, applied from 2025, changed several things traders were used to, above all CR renewal. Here is what changed, how to issue and keep your CR active, and when you need a lawyer.
What changed under the new law?
| Before | Under the new law |
|---|---|
| The CR had an expiry date and was renewed periodically | No expiry date; renewal is replaced by annual confirmation of data |
| A separate sub-registration for each branch | One CR for the business, with branches recorded under it |
| The CR was tied to a city | The CR covers the whole Kingdom |
These are the main changes announced by the Ministry of Commerce. Deadlines, fees and penalties are set by the regulations and updated decisions, so check the latest official text before acting.
Is there still a "CR renewal"?
Not in the old sense, but the duty remains: you must confirm your CR data every year on the official platform and update it whenever something changes (activity, address, manager, capital). Missing the confirmation can lead to suspension or cancellation of the CR under the rules, which stops the business dealing with authorities and banks.
Steps to issue a commercial registration
- Reserve the trade name and check it does not clash with registered names or trademarks.
- Choose the legal form: sole proprietorship, limited liability company, simplified joint-stock company or another form.
- Pick the activity from the activity guide; some activities need a licence from a specialised authority.
- Articles of association for companies, notarised electronically.
- Issue the CR on the Saudi Business Center platform, then register with the Chamber of Commerce and related bodies.
Read company formation in Saudi Arabia and the Companies Law explained; foreign investors should read setting up a company as a non-Saudi.
Mistakes that cost traders dearly
- Registered activity that does not match the real one: exposes the business to violations and weakens it in contracts and disputes.
- Manager or authorised signatory not updated: acts are taken without clear authority.
- Trade name without trademark protection: the CR protects the name within its scope; the logo and brand need trademark registration.
- Partners without a written agreement: the CR does not settle disputes over management and profits; see the partnership agreement template.
Frequently asked questions
Do I need a lawyer to issue a CR?
For a simple sole proprietorship, usually not. For companies with several partners, foreign investors or regulated activities, drafting the articles and authorities properly from the start prevents costly disputes later.
What if my CR is suspended?
Find the reason on the platform and update the data or pay what is due. If you believe the decision is wrong, you may challenge it through the set procedure; see grievances before the Board of Grievances.
Can I cancel a CR that still has obligations?
Cancellation does not remove existing obligations of the business or its owner. Settle contracts, debts and employees first.
